These Terms of Service (“Terms”) govern your access to and use of the website, client portal, services and training provided by FesCode Limited (“FesCode”, “we”, “us”), a company based in FCT, Abuja, Nigeria. By using our website or creating an account, you agree to these Terms. If you do not agree, please do not use our services.
1. Accounts
- You must provide accurate information when creating or being provisioned an account, and keep it up to date.
- You are responsible for activity under your account and for keeping your credentials secure. Tell us promptly at hello@fescode.tech if you suspect unauthorised access.
- Client and staff accounts are separate. Client accounts may use the client portal only; you must not attempt to access administrative areas.
2. Acceptable use
You agree not to:
- use the service unlawfully, or to infringe the rights of others;
- attempt to gain unauthorised access to any account, system or data;
- disrupt, overload or probe the service or its security; or
- upload malicious code or content you do not have the right to share.
3. Services and engagements
Information on our website is for general guidance and does not constitute a binding offer. The specific scope, deliverables, timeline and fees for any project are set out in a separate proposal and/or service agreement signed between you and FesCode. Where those documents conflict with these Terms, the signed agreement governs the work itself.
4. Training and enrolments
Enrolment in a program or course is confirmed once any required application and payment steps are completed. Cohort dates, formats and content may be adjusted where reasonably necessary; we will communicate material changes. Specific training terms or schedules provided to you form part of these Terms.
5. Payments, invoices and instalments
- Fees are quoted and payable in Nigerian Naira (NGN) unless otherwise stated in your invoice or agreement.
- Invoices are due by the date shown on them. We may offer instalment or milestone plans; each instalment is due on its stated date.
- Late or non-payment may lead to suspension of work, services or portal access until the balance is cleared.
- Except where required by law or expressly agreed in writing, fees paid are non-refundable.
- Receipts and payment records are made available to you in the client portal.
6. Intellectual property
The FesCode website, brand, logos and content are owned by FesCode and protected by law. Ownership of project deliverables is governed by your signed service agreement — typically transferring to you on full payment, while FesCode retains its pre-existing tools, know-how and components. You may not copy or reuse our website content or branding without permission.
7. Confidentiality
Where we exchange confidential information, both parties agree to protect it and use it only for the purpose of the engagement. Specific projects may be covered by a separate non-disclosure agreement, which applies alongside these Terms.
8. Third-party services
Our service relies on third parties (such as hosting, authentication and email providers) and may link to external sites. We are not responsible for the content or practices of third parties; your use of their services is subject to their own terms.
9. Disclaimers
Our website and portal are provided on an “as is” and “as available” basis. While we work hard to keep them reliable and secure, we do not warrant that they will be uninterrupted or error-free. This does not affect the specific commitments made in a signed service agreement.
10. Limitation of liability
To the fullest extent permitted by law, FesCode is not liable for indirect, incidental or consequential losses, or for loss of profits, data or goodwill arising from your use of the website or portal. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify FesCode against claims, losses and costs arising from your misuse of the service or your breach of these Terms.
12. Suspension and termination
We may suspend or terminate access where these Terms are breached, where payment is overdue, or where necessary to protect the service or other users. You may stop using the service at any time; provisions that by their nature should survive (such as payment, IP and confidentiality) will continue to apply.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute amicably; failing that, the courts of the Federal Capital Territory, Abuja, will have jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, notify you. Continued use after an update means you accept the revised Terms.
